The candidate must have at least 3 – 6 years of experience and a background in corporate laws and governance. Qualifications

  • The candidate must possess a CS qualification.
  • Strong understanding of corporate governance, compliance, and regulatory requirements is a must.
  • The individual must be proficient in English and have excellent communication and drafting skills.
  • Expertise in managing board meetings, including the preparation of board papers and taking minutes is also required.
  • Ability to handle confidential information with discretion.
  • Good leadership, organizational, and analytical skills are a plus.

Experience

The ideal candidate must have a minimum of 3 – 6 years of experience in CS or a similar role and possess the necessary skills and qualifications required for the role.

Position Overview

We are seeking an experienced and qualified Company Secretary to join us at Zenplus Private Limited, Mumbai. The candidate must have a minimum of 3-6 years of prior experience and a background in corporate laws, governance, and board meeting coordination. Once hired, it will be their responsibility to ensure that the company complies with the necessary statutory and regulatory requirements. Responsibilities

  • Ensure conformity with the Companies Act and other applicable governing regulations.
  • Update and manage statutory registers of directors, shareholders, and company secretaries.
  • Filing necessary reports with the SEBI, Registrar of Companies (ROCs) and other regulatory systems.
  • Prepare for and attend board and committee meetings, take detailed minutes, and provide advice on legal and regulatory matters.
  • Submit annual returns and other required filings. Manage audits of company secretarial practices and maintain appropriate records.
  • Provide legal advice and other suggestions on governance, and risk management matters. Aid in the formulation of company policies, ensuring that they comply with the necessary legal systems and corporate governance best practices.
  • Manage interactions with shareholders, auditors, regulators, and government agencies.
  • Draft legal documents, agreements, letters, and contracts.
  • Ensure adherence to corporate policies and procedures, especially those associated with mergers, acquisitions, and joint ventures.
